1. TERMS AND CONDITIONS

1. ACCEPTANCE OF TERMS

These Terms and Conditions constitute a legally binding agreement made between you, whether personally or on behalf of an entity (“Client,” “you”), and TomkidTechnologies (“Company,” “we,” “us,” or “our”), overseen by CEO and Lead Developer Matmiles. By engaging our services, you agree that you have read, understood, and agreed to be bound by all of these Terms.

2. SCOPE OF SERVICES

TomkidTechnologies provides technical solutions, including but not limited to:

Custom Website and Mobile Application Development.
Software Script Implementation and Maintenance.
Application Distribution to the Apple App Store and Google Play Store.
Technical Consultancy and Professional IT Services.

3. CLIENT RESPONSIBILITY & LIMITATION OF LIABILITY

3.1 Content & Use: The Client maintains sole responsibility for the purpose, content, and legality of any website or application created by TomkidTechnologies. We do not monitor the end-use of our products. 3.2 Safe Harbor Clause: TomkidTechnologies and Matmiles shall not be held liable for any legal actions, criminal charges, financial losses, or damages arising from the Client’s use of the developed software. 3.3 No Warranty: While we strive for excellence, services are provided on an “as-is” and “as-available” basis. We do not guarantee that the software will be error-free or that third-party platforms (Apple/Google) will approve your application.

4. INTELLECTUAL PROPERTY RIGHTS

4.1 Company Property: All proprietary code, pre-existing scripts, methodologies, and technical frameworks used during development remain the exclusive property of TomkidTechnologies. 4.2 Client Property: Upon receipt of 100% of the agreed-upon payment, the specific front-end design and custom content created for the project will be transferred to the Client.

5. PAYMENT, TAXES & REFUNDS

5.1 Payment Schedule: Work is performed based on the milestone payments outlined in your specific project proposal. 5.2 Taxes: All fees are subject to applicable Nigerian taxes, including Value Added Tax (VAT), where mandatory. 5.3 Refunds: Due to the custom nature of software development, all deposits and milestone payments are non-refundable once work on that phase has commenced.

6. APP STORE & PLAY STORE DISTRIBUTION

TomkidTechnologies assists in the technical submission of apps. However, we have no control over the approval policies of Apple Inc. or Google LLC. The Client is responsible for maintaining their own developer accounts and paying any associated platform fees.

7. FORCE MAJEURE

TomkidTechnologies shall not be responsible for delays caused by circumstances beyond our control, including national power grid failures, internet service provider outages, civil unrest, or changes in Nigerian telecommunications regulations.

8. INDEMNIFICATION

You agree to defend, indemnify, and hold harmless TomkidTechnologies and Matmiles from any claims, liabilities, or expenses (including legal fees) arising from your breach of these terms or your violation of any third-party rights.

9. DISPUTE RESOLUTION

These Terms are governed by the laws of the Federal Republic of Nigeria. Any disputes shall be settled through the courts of the Federal Capital Territory or Lagos State.

2. USE OF DATA

Your data is used strictly for:

Project communication and technical support.
Billing and administrative purposes.
Delivering the final software products.

3. THIRD-PARTY DISCLOSURE

We do not sell, trade, or otherwise transfer your personal information to outside parties. This does not include trusted third parties who assist us in operating our website or servicing you, so long as those parties agree to keep this information confidential.

4. DATA SECURITY

We implement a variety of security measures to maintain the safety of your personal information. However, as a developer, you acknowledge that no transmission over the internet is 100% secure.

5. YOUR RIGHTS
